These Terms of Service ("Terms") govern your use of Half Off Dev, including the website at https://halfoff.dev, the dashboard, the APIs, the MCP server, the data tools, the browser agent, the image API and the cloud agents (together, the "Service"). The Service is operated by NEWPO LLC, Dover, Delaware, USA ("we", "us"). By creating an account or using the Service you agree to these Terms, our Acceptable Use Policy and our Privacy Policy. If you use the Service for an organization, you accept these Terms on its behalf and confirm you have authority to do so.
Accounts#
- You must be at least 18 years old and able to enter a binding contract.
- Give accurate information when you sign up and keep your email address current. We send verification and account notices there.
- You are responsible for everything done with your account and your API keys. Keep keys secret, use the per-key limits the dashboard offers, and revoke a key you think is exposed.
- One person or organization per account. Don't create accounts to collect promotional credit more than once.
- Turn on two-factor authentication if you can. We are not liable for losses caused by credentials you shared or failed to protect.
The Service#
- Models. We give you access to AI models made by third parties (for example Anthropic, OpenAI and Google) through their native API formats. We route each request to a channel that serves the model you asked for. Models, channels, context limits and features can change, and a model may be withdrawn when its supply ends.
- Data tools. Data tools retrieve publicly available information from websites and services on your instructions and return it to you.
- Browser agent. The browser agent operates a real web browser for you: it visits the pages, fills the forms and uses the accounts you direct it to.
- Cloud agents. Cloud agents run software in an isolated environment on your instructions and store the workspace files you create.
- Changes. We may add, change or remove features, models and tools. When a change removes something you pay for, we will try to give notice on the site or by email.
- Availability. We work to keep the Service available and publish live availability on our status page, but we do not guarantee that it will be uninterrupted or error-free. There is no service-level agreement unless we sign one with you separately.
Prices, credits and payment#
- Prepaid. The Service runs on prepaid credit in US dollars. Prices are shown on the site (pricing, models, data tools) and in the API. Usage is deducted from your balance as it happens; some requests place a temporary hold that is settled when they finish.
- Price changes. We may change prices at any time. New prices apply to usage after the change, never to usage already made.
- Negative balance. Some charges are settled after the fact (for example cloud agent compute, or a promotional credit that is withdrawn). If your balance goes below zero you owe that amount, and we may stop or delete running resources as described in the documentation until it is paid.
- Promotional credit. Free credit (for example for a post about us, or a match on your first top-up) has no cash value, cannot be transferred or withdrawn, and may be revoked if its conditions stop being met or if it was obtained by abuse.
- Payment processing. Payments are processed by our payment providers under their own terms. We do not receive your full card or bank details.
- Refunds. Except where the law requires otherwise, payments for credit are non-refundable. If you believe you were charged in error, contact support within 30 days and we will review it.
- Chargebacks. If you dispute a payment we may suspend the account while the dispute is open, and close it if the dispute is not in good faith.
- Taxes. Prices do not include taxes unless stated. You are responsible for any taxes that apply to your purchases.
Your content#
- Ownership. You keep all rights to the inputs you send and, as between you and us, to the outputs you receive. Your use of model outputs is also subject to the terms of the company that made the model.
- Licence to us. You give us the rights needed to process your inputs and outputs to provide, secure and bill for the Service — including passing them to the providers that run the models, tools, browsers and compute you use.
- No training. We do not use your API inputs or outputs to train models.
- Your responsibility. You confirm you have the rights and permissions needed for the content and data you submit, and that your use of outputs and of data retrieved through the Service complies with the law (including privacy, data-protection and intellectual-property law) and with the terms of the websites concerned.
- Accuracy. AI output can be wrong, incomplete or offensive. Check it before you rely on it, especially for legal, medical, financial or safety decisions.
Third-party services#
Models, data sources, websites and other services you reach through the Service belong to third parties. Your use of a model must also follow the usage policies of the company that made it. We are not responsible for third-party content, and a third party may limit or end what we can offer.
Agents acting for you#
When you use the browser agent or a cloud agent, you authorize it to act on your behalf on the websites and accounts you direct it to. You are responsible for those actions, for having permission to use those accounts, and for any approvals you give. Secrets you store with us are encrypted and only used for the sites you allow. Public share links created for agent files are visible to anyone who has the link until they expire or you revoke them.
If you offer agents or other parts of the Service to your own users (for example under your own branding), you are responsible for those users, for your own terms with them, and for their compliance with these Terms and the Acceptable Use Policy.
Acceptable use#
You must follow our Acceptable Use Policy. We may investigate suspected violations, and we may refuse, limit or stop any request, run or agent that we reasonably believe breaks it.
Suspension and termination#
You can stop using the Service at any time and ask support to close your account. We may suspend or close your account, revoke keys or withdraw promotional credit if you break these Terms, if your use creates risk or legal exposure for us or others, if payment fails, or if the law requires it. Where it is reasonable we will tell you first. When an account is closed for a reason other than your breach, we will refund remaining paid credit on request.
Disclaimers#
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy of output.
Limitation of liability#
To the fullest extent the law allows, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
Indemnity#
You will defend and indemnify NEWPO LLC against third-party claims arising from your content, your use of the Service or of data retrieved through it, your users, or your breach of these Terms or the law.
Changes to these Terms#
We may update these Terms. We will post the new version here with a new date and, for material changes, notify you by email or in the dashboard at least 14 days before they take effect. Continuing to use the Service after that means you accept the new Terms.
Governing law#
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
General#
These Terms, the Acceptable Use Policy and the Privacy Policy are the entire agreement between you and us about the Service. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of the Service.
